1. Acceptance of terms
By accessing or using semax.clinic and our services (the "Services"), you agree to these Terms & Conditions ("Terms") and our Privacy Policy. If you do not agree, do not use the Services. The Services are operated by Semax Health, Inc. ("Semax," "we," "us," or "our").
2. Eligibility
You must be at least 18 years old and a resident of a U.S. state where the Services are available to use the Services or place an order. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.
3. Not medical advice
The content on the Services is for general informational purposes and is not medical advice, diagnosis, or treatment. Semax does not practice medicine. Semax products are not approved by the U.S. Food and Drug Administration to diagnose, treat, cure, or prevent any disease, and statements on the Services have not been evaluated by the FDA. Always seek the advice of a qualified health provider with questions about a medical condition, and never disregard professional medical advice because of something you read here.
4. The provider relationship
If a product requires a prescription, a licensed provider — not Semax — determines whether the therapy is appropriate for you based on the information you submit. The provider may decline to prescribe. Semax facilitates the connection to providers and licensed compounding pharmacies and is not responsible for their independent clinical judgment. Compounded medications are prepared by a U.S. state-licensed pharmacy and are not FDA-approved products.
5. Orders & subscriptions
Some products are offered on a recurring subscription basis. Product descriptions, pricing, and availability may change. We may limit or cancel quantities, refuse orders, or correct pricing errors. Placing an order is an offer to purchase; we accept it when we confirm and, where required, when a provider authorizes it.
6. Billing & cancellation
- By starting a subscription, you authorize us to charge your payment method on a recurring basis at the then-current price plus applicable taxes and fees until you cancel.
- Subscriptions renew automatically until cancelled. You may pause or cancel anytime before your next billing date through your account or by emailing billing@semax.clinic.
- Cancellation stops future charges; it does not retroactively refund a charge already incurred, except as described in our Return Policy or as required by law.
- If a payment fails, we may retry the charge and may suspend the Services until payment is resolved.
7. Returns & refunds
Our refund terms, including the 60-day money-back guarantee and rules for the return of medications, are described in the Return Policy, which is incorporated into these Terms.
8. Acceptable use
You agree not to misuse the Services, including by: providing false information; reselling or diverting any medication; attempting to access accounts or systems without authorization; scraping or overloading the Services; or using the Services for any unlawful purpose. You are responsible for keeping your account credentials secure.
9. Intellectual property
The Services and all content, trademarks, logos, and design are owned by Semax or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works without our written permission.
10. Disclaimers
THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that any particular result will be achieved. Individual results vary.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMAX AND ITS OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Semax and its partners from claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.
13. Dispute resolution & arbitration
Please read this section carefully. Except where prohibited by law, you and Semax agree to resolve disputes through binding individual arbitration rather than in court, and you waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@semax.clinic with your name and a statement that you decline arbitration. These Terms are governed by the laws of the State of [State — placeholder], without regard to conflict-of-laws rules.
14. Changes & termination
We may update these Terms from time to time; the "Last updated" date reflects the latest version, and continued use after changes means you accept them. We may suspend or terminate the Services or your account at our discretion, including for violation of these Terms.
